  • This Work Order is entered into between Medtronic, Inc., 8200 Coral Sea Street NE, Mounds View, Minnesota 55112 (?Medtronic?) and East Carolina University, 2200 South Charles Boulevard, Suite 2900, Greenville, South Carolina 27858 (?East Carolina?) and Samuel F. Sears, Jr., Ph.D., 204 Deer Creek Lane, Greenville, North Carolina 27834 (?Dr. Sears?) (hereinafter East Carolina and Dr. Sears are collectively referred to as ?Consultant?) shall provide consulting services and is hereby made subject to and governed by the Consulting Master Service Agreement between Medtronic, Inc. and East Carolina University, effective September 15, 2012, as amended (?Agreement?). Although this Work Order is governed by the terms in the Agreement, this Work Order is between Consultant and the specific Medtronic Affiliate that is a party to this Work Order, and not any other Medtronic entity. For purposes of this Work Order, when the term ?Medtronic? is used in the Agreement, it means the specific Medtronic Affiliate that is a party to this Work Order. The terms and conditions of this Work Order shall prevail over any conflicting or inconsistent terms in the Agreement, with respect to the services performed under this Work Order. Defined terms in this Work Order have the meanings assigned to them in the Agreement, unless otherwise expressly provided in this Work Order. Medtronic engages Consultant to provide, and Consultant agrees to provide, the services described below in accordance with the following terms and conditions, which apply solely to Services performed under this Work Order. Medtronic Contact: James Coles, Global Downstream Marketing Director, or his Medtronic designee. Services: Upon request from Medtronic, Consultant shall provide the following Services at the time(s) and place(s) directed by the Medtronic Contact: 1. Consultant will review and update as necessary: a)?Shock Plan? brochure; and b) Existing Ask the ICD Patient Website questions (as identified by Medtronic). 2. Consultant will provide recommendations and develop content as requested for: a) Proposed ?Patient Engagement? mobile application features; b) Ask the ICD Patient Website questions; c) Ask the ICD Patient Website e-mails to patients and clinicians; and d) Clinician education presentations. 3. Consultant will conduct literature review and provide recommendation and summaries on: a) How culture/geography affects patient refusal for ICD implants; and b) How mobile applications can impact patient behavior, QoL outcomes. 4. Consultant will, at Medtronic's request, participate in presentations, webcasts or podcasts. 5. Consultant will attend meetings; participate in conference calls and other duties as reasonably requested by Medtronic. Deliverables: The Medtronic Contact shall provide information to Consultant about any deadlines and deliverables related to the Services.
