This Work Order is entered into between Medtronic, Inc., 8200 Coral Sea Street NE, Mounds View, Minnesota 55112 (?Medtronic?) and East Carolina University and Samuel F. Sears, Jr., Ph.D. (?Dr. Sears?) (hereinafter East Carolina and Dr. Sears are collectively referred to as ?Consultant?) and is hereby made subject to and governed by the Consulting Master Service Agreement between Medtronic, Inc. and Consultant, effective September 15, 2012 (?Agreement?). Although this Work Order is governed by the terms in the Agreement, this Work Order is between Consultant and the specific Medtronic Affiliate that is a party to this Work Order, and not any other Medtronic entity. For purposes of this Work Order, when the term ?Medtronic? is used in the Agreement, it means the specific Medtronic Affiliate that is a party to this Work Order. The terms and conditions of this Work Order shall prevail over any conflicting or inconsistent terms in the Agreement, with respect to the services performed under this Work Order. Defined terms in this Work Order have the meanings assigned to them in the Agreement, unless otherwise expressly provided in this Work Order. Medtronic engages Consultant to provide, and Consultant agrees to provide, the services described below in accordance with the following terms and conditions, which apply solely to Services performed under this Work Order. Medtronic Contact: Jenny Wager, Global Market Development Manager or her Medtronic designee. Services: Upon request of the Medtronic Contact, Consultant shall provide the following Services related to Cardiac Connected Care at the time(s) and place(s) directed by the Medtronic Contact: 1. Review and provide input on strategy, products, services, education, communication materials, evidence generation and dissemintation; 2. Participation in telephone calls, individual in-person meetings, or electronic exchanges with Medtronic representatives; 3. Prepare reports and attend other meetings as reasonably requested by Medtronic. 4. Other services as reasonably requested by Medtronic.

Medtronic Contact: Joseph Heller, Director, CRDM Global Medical Education, CRDM Procedure Training and Customer Visit Programs or his Medtronic designee Services: Upon request of the Medtronic Contact and at the time(s) and place(s) directed by the Medtronic Contact, Consultant will provide training and education services related to the safe and effective use of Medtronic CRDM products and therapies (?Services?), as further described on the attached Exhibit A, Services/Compensation Session Rates table (?Exhibit A?). All training and education programs sponsored by Medtronic are intended to educate and train healthcare professionals or patients on the approved or cleared uses of Medtronic products. Consultant agrees to conduct presentations and discussions in accordance with On-Label Use Requirements for Medtronic Training and Education Programs attached hereto as Exhibit B when presenting to U.S. audiences. Before Consultant performs a Service, Medtronic may provide an Event Confirmation Communication (?ECC?) to Consultant further describing the Services and confirming the amount of compensation to be paid to Consultant. Each ECC shall be governed by and subject to this Work Order
